Subscription Agreement

This Subscription Agreement (the “Agreement”) is made and entered into as of [Effective Date], between:

IO-Gen Efficiency Ltd. whose registered office is at Heath Place, Ash Grove, Bognor Regis, PO22 9SL (incorporated in England and Wales under company registration number 13177936), and

WHEREAS, the Company provides an energy management platform ("Platform") that helps users track and optimise energy consumption; and

WHEREAS, the Subscriber wishes to subscribe to the Platform and agrees to share certain energy data with the Company as part of the subscription.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. Subscription to the Platform

   1.1. The Subscriber agrees to subscribe to the Company’s energy management platform for a term of 12 months, starting from the Effective Date ("Subscription Term").

   1.2. The Company shall provide the Subscriber with access to the Platform, subject to the terms of this Agreement.

2. Sharing of Energy Data

   2.1. The Subscriber agrees to provide the Company with accurate and up-to-date energy usage data for the duration of the Subscription Term. This data may include, but is not limited to, electricity usage, gas consumption, energy efficiency metrics, and other relevant information.

   2.2. The Company will use this data solely for the purpose of providing energy management services through the Platform.

3. Confidentiality

   3.1. The Company agrees to maintain the confidentiality of the Subscriber's energy data and not to disclose it to any third party, except as required by law or as necessary to provide the services under this Agreement.

   3.2. The Subscriber agrees to treat any information provided by the Company, including access to the Platform, as confidential.

4. Subscription Fees

   4.1. The Subscriber agrees to pay a subscription fee of £450.00 for the first 12 months of subscription.

   4.2. The Company may adjust the subscription fee with 30 days' written notice to the Subscriber.

5. Term and Termination

   5.1. This Agreement will remain in effect for the Subscription Term, unless terminated earlier as provided herein.

   5.2. Either party may terminate this Agreement with 30 days' written notice if the other party breaches any material provision of this Agreement and fails to cure such breach within the notice period.

6. Limitation of Liability

   6.1. The Company’s liability under this Agreement will be limited to the amount paid by the Subscriber for the subscription in the last 12 months.

7. Governing Law

   7.1. This Agreement shall be governed by and construed in accordance with the laws of [State/Country].

8. Miscellaneous

   8.1. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements or understandings.

   8.2. Any amendments or modifications to this Agreement must be in writing and signed by both parties.

Letter of Authority (LoA)

An LOA or Letter of Authority is the document that grants IO-GEN the authority to request essential energy supply data from your supplier (detailed in the LoA below). It’s a legal requirement under Data Protection laws, and without it, your current energy supplier won’t provide us with this crucial information. Please speak to us directly if you have any questions or want to amend certain permissions on the LoA below:

To whom it may concern,

Please accept this letter as confirmation that we give IO-Gen Efficiency Ltd and Perse Technology permission to:

Obtain, analyse, process and control the following data including (but not limited to)

• Energy data: current and up to 3 years historical gas and electricity consumption (including meter reads), meter details, supplier details and contracted capacity;

Obtain, analyse, process and control the data at the following granularity:

• Half hourly

Do this for the purpose(s) of:

• Carbon reporting

• Identifying measures to reduce carbon or energy or energy costs or a combination of

• Net Zero strategy

• Flexibility

This permission relates to the following properties, for which we are the bill player and / or occupant:

For the avoidance of doubt this letter does not authorise IO-Gen to enter into new supply agreements on Our behalf.

This permission will remain valid for the next 12 months from agreement date.
